These Terms of Service ("Terms") govern your access to and use of the website and services provided by Revolution Farming Group ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our website or services.

    By accessing our website, submitting an inquiry, or engaging Revolution Farming Group for services, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms apply to all visitors, clients, and others who access or use our services. If you are acting on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

    Description of Services

    Revolution Farming Group provides administrative and operational support services for agricultural businesses, including workflow organization, documentation and reporting systems, and internal policy development. All services are support-based and non-operational in nature. Services may be delivered entirely remotely and do not constitute legal, financial, regulatory, or agronomic advice of any kind.

    Eligibility

    Our services are intended for businesses and individuals who are at least 18 years of age and legally capable of entering into binding agreements. By engaging our services, you represent and warrant that you meet these eligibility requirements. We reserve the right to refuse service to any party at our sole discretion.

    Service Agreements and Scope

    Specific terms, deliverables, timelines, and pricing for each engagement are defined in a separate written service agreement or statement of work entered into between the Company and the client. These Terms of Service apply in addition to any such agreement and shall govern in the event of any conflict unless expressly stated otherwise. No verbal representations shall modify or supersede these Terms.

    Client Responsibilities

    Clients are responsible for providing accurate, complete, and timely information necessary for the performance of services. Failure to provide required information may result in delays, additional fees, or inability to complete the engagement. The Company shall not be liable for deficiencies in deliverables that result from inaccurate or incomplete information provided by the client.

    Payment Terms

    Fees for services are as agreed upon in the applicable service agreement or proposal. Unless otherwise stated, invoices are due within fifteen (15) days of issuance. Late payments may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with outstanding unpaid balances.

    Intellectual Property

    All original content, designs, methodologies, and materials created by Revolution Farming Group remain the intellectual property of the Company until full payment has been received. Upon receipt of full payment, the client receives a non-exclusive license to use the deliverables for their intended internal business purpose. The Company retains the right to reference the engagement in its portfolio unless a confidentiality agreement expressly prohibits such reference.

    Confidentiality

    Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of an engagement and to use such information solely for the purposes of the engagement. This obligation survives the termination of any service agreement for a period of two (2) years. Standard confidentiality provisions may be supplemented or replaced by a separate non-disclosure agreement at either party's request.

    No Professional Advice

    The services provided by Revolution Farming Group are administrative and operational support services only. Nothing in our deliverables, communications, or website constitutes legal, financial, tax, regulatory, environmental, or agronomic advice. Clients should consult qualified professionals in the relevant fields before making material decisions based on any information we provide.

    Disclaimer of Warranties

    Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We make no warranty that services will meet every specific expectation, be error-free, or achieve particular business outcomes. The Company expressly disclaims all implied warranties, including but not limited to merchantability and fitness for a particular purpose.

    Limitation of Liability

    To the maximum extent permitted by applicable law, Revolution Farming Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising under these Terms shall not exceed the total amount paid by the client in the three (3) months preceding the claim. This limitation applies regardless of the legal theory under which the claim is brought.

    Indemnification

    You agree to indemnify, defend, and hold harmless Revolution Farming Group, its members, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms, misuse of our services, or infringement of any third-party rights. This indemnification obligation shall survive termination of any service agreement or these Terms.

    Termination of Services

    Either party may terminate a service engagement upon written notice as specified in the applicable service agreement. The Company reserves the right to immediately terminate services in cases of non-payment, breach of these Terms, or conduct that we determine to be harmful to the Company or its operations. Upon termination, outstanding fees for work completed through the termination date remain payable.

    Force Majeure

    The Company shall not be held liable for any failure or delay in performance of its obligations caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet disruptions, or other force majeure events. We will make reasonable efforts to resume services as promptly as possible following any such event. The affected party will notify the other party of the force majeure event within a reasonable time.

    Independent Contractor Status

    Revolution Farming Group and its personnel operate as independent contractors and not as employees, agents, partners, or joint venture partners of the client. Nothing in these Terms or any service agreement shall be construed to create an employment relationship. The Company retains sole discretion over how services are performed, subject to the agreed scope and deliverables.

    Website Use Restrictions

    You may not use our website for any unlawful purpose, to transmit harmful or malicious content, to impersonate any person or entity, or to interfere with the proper functioning of the site. Unauthorized access to any part of our systems or infrastructure is strictly prohibited and may result in civil or criminal liability. We reserve the right to block or restrict access to any user or entity that violates these restrictions.

    Modifications to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website, with the "Last Updated" date reflecting the most recent revision. Continued use of our services following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

    Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect without interruption.

    Entire Agreement

    These Terms, together with any applicable service agreements, constitute the entire agreement between you and Revolution Farming Group with respect to the subject matter herein. They supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to such subject matter. No waiver of any provision shall be deemed a further or continuing waiver of such or any other provision.

    Dispute Resolution

    In the event of a dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Kansas City, Missouri, under the rules of the American Arbitration Association, unless the parties mutually agree otherwise. Each party shall bear its own legal fees and costs.

    Governing Law

    These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Jackson County, Missouri. You consent to the personal jurisdiction of such courts for this purpose.
